Terms of Use

1. Acceptance of terms

These Terms constitute a legally binding agreement between you and SGrade (“we”, “us”, “our”). You must be at least 13 years of age to use this service. By creating an account or accessing any part of the platform you confirm that you meet this requirement and have the legal capacity to enter into this agreement.

2. Description of service

SGrade provides an online exam preparation platform offering:

• Practice question banks for professional, academic, and licensing examinations
• Adaptive mock tests and performance analytics
• Study guides and topic explanations
• AI-powered hints and explanations

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice. We are not affiliated with, endorsed by, or officially connected with any examination body (including NCLEX, USMLE, CPA, Bar Exam, LSAT, CFA, AWS, NAPLAN, or A-Level awarding organisations) unless explicitly stated.

3. Account registration

• You must provide a valid email address and keep your account information accurate
• You are responsible for maintaining the confidentiality of your account
• You must notify us immediately of any unauthorised access at legal@sgrade.ai
• You may not share your account or allow others to access your subscription
• We reserve the right to suspend or terminate accounts that violate these Terms

4. Acceptable use

You agree NOT to:

• Use the service for any unlawful purpose or in violation of any applicable regulation
• Reproduce, copy, sell, or commercially exploit any part of the service without our written permission
• Scrape, crawl, or programmatically access our content or question bank without authorisation
• Attempt to reverse-engineer, decompile, or extract our question database
• Upload or transmit viruses, malware, or any harmful code
• Impersonate any person or entity
• Use automated tools, bots, or scripts to answer questions or manipulate scores
• Share, publish, or distribute examination questions obtained through our platform in ways that would constitute exam fraud or violate examination body policies
• Interfere with or disrupt the integrity of the platform or its infrastructure
• Circumvent any security measures or access controls

Violation of these terms may result in immediate account suspension without refund.

5. Intellectual property

5.1 SGrade content

All content on the platform — including but not limited to practice questions, explanations, study guides, algorithms, user interface, logos, and branding — is owned by or licensed to SGrade and protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without express written permission.

5.2 User content

If you submit feedback, suggestions, or other content to SGrade, you grant us a non-exclusive, royalty-free, perpetual licence to use, modify, and incorporate such content into our service without compensation to you.

5.3 Third-party content

Examination names, syllabi references, and question formats are used for descriptive and educational purposes. All trademarks belong to their respective owners. SGrade claims no ownership over third-party trademarks.

6. Subscriptions & payments

• Some features require a paid subscription. Pricing is displayed on the pricing page prior to purchase.
• Subscriptions auto-renew unless cancelled before the renewal date.
• All payments are processed by Stripe. We do not store your payment card details.
• Refunds are offered within 7 days of initial purchase if you have completed fewer than 10 practice questions. After this window or usage threshold, refunds are at our discretion.
• We reserve the right to change prices with 30 days' notice to active subscribers.

7. Disclaimers

No Guarantee of Exam Success

SGrade provides educational preparation tools. We make no guarantee that use of our platform will result in passing any examination. Examination outcomes depend on many factors outside our control including individual preparation, exam difficulty, and examination body policies.

Content Accuracy

We endeavour to keep our question bank accurate and up to date. However, examination syllabi change and questions may become outdated. We do not warrant that our content is error-free or current at all times. Always consult official examination body materials as your primary source.

Service Availability

SGrade is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted or error-free access. We may perform maintenance that temporarily restricts access; we will give reasonable advance notice where possible.

8. Limitation of liability

To the maximum extent permitted by applicable law:

• SGrade and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the service
• Our total aggregate liability to you for any claim arising from these Terms or your use of the service shall not exceed the amount you paid us in the 12 months preceding the claim, or USD $50, whichever is greater
• Some jurisdictions do not allow limitation of certain damages; in such jurisdictions our liability is limited to the extent permitted by law

9. Indemnification

You agree to indemnify, defend, and hold harmless SGrade and its affiliates from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising from your use of the service, violation of these Terms, or infringement of any third-party right.

10. Third-party links & services

The platform may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or availability of third-party sites. Links do not constitute endorsement. Access third-party sites at your own risk.

11. Advertising

SGrade displays advertisements served by Google AdSense. We do not control the content of these advertisements. By using the service you acknowledge that ads may be displayed based on your interests and browsing behaviour as described in our Privacy Policy.

12. Termination

We may suspend or terminate your access immediately, without prior notice, for breach of these Terms. Upon termination your right to use the service ceases. Provisions of these Terms that by their nature should survive termination (including IP rights, disclaimers, limitations of liability, and indemnification) shall survive.

You may close your account at any time by emailing legal@sgrade.ai. Closure does not automatically trigger a refund.

13. Governing law & dispute resolution

These Terms are governed by the laws of India. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of courts in [Your City], India. For users in the EU/UK, mandatory local consumer protection laws apply and are not waived by this clause.

Before initiating formal proceedings, both parties agree to attempt good-faith resolution by emailing legal@sgrade.ai with a description of the dispute. We will endeavour to respond within 14 business days.

14. Changes to terms

We may update these Terms at any time. Material changes will be communicated via email or prominent in-app notice at least 14 days before taking effect. Continued use after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the service and may request account deletion.
